Terms of Service

1. Introduction and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "You") and the creator of Nuda Kit ("Company," "We," "Us," or "Our"), based in Barcelona, Spain.

By purchasing, downloading, or using the Nuda Kit codebase, documentation, and related resources (collectively, the "Product"), you agree to be bound by these Terms. If you do not agree to these Terms, do not purchase or use the Product.

NOTICE TO EU CONSUMERS: By downloading the Product, you acknowledge that you are purchasing digital content that is not supplied on a tangible medium. You expressly consent to the immediate performance of the contract and acknowledge that you thereby lose your right of withdrawal (the 14-day cooling-off period) once the download has commenced, in accordance with EU Consumer Rights Directive.

2. License Grant

Upon payment of the applicable fees, we grant you a non-exclusive, non-transferable, worldwide, revocable license to use the Product subject to the following conditions:

2.1. Permitted Uses (What You Can Do)

  • Unlimited Projects: You may use the Product to build an unlimited number of websites, web applications, or SaaS products for yourself or your business.
  • Client Work: You may use the Product to build applications for your clients. You do not need to purchase a separate license for each client, nor do you need to transfer your license to them.
  • Commercial Use: You may sell access to the applications you build using the Product (e.g., selling subscriptions to your SaaS).
  • Open Source: You may use the Product in open-source projects, provided that the source code is not distributed in a manner that allows third parties to extract the Nuda Kit boilerplate files to create a competing product or avoid purchasing a license.

2.2. Prohibited Uses (What You Cannot Do)

  • No Resale of Source Code: You may not resell, redistribute, sub-license, or share the source code of the Product "as is" or in any modified form where the primary value of the product remains the boilerplate code itself.
  • No Competing Products: You may not use the Product to create a derivative work that competes directly with Nuda Kit (e.g., another UI kit, boilerplate, or starter kit).
  • Public Repositories: You must not publish the full, uncompiled source code of the Product in a public repository (like GitHub) in a way that would allow non-purchasers to download the Nuda Kit without payment.

3. Plans and Updates

3.1. The Builder Plan

  • One-Time Access: You will receive the specific version of the Product available at the time of your purchase.
  • No Updates: You are not entitled to future updates, bug fixes, or security patches. The software is provided strictly "as is" at the moment of download.
  • No Support: This plan does not include priority support.

3.2. The Visionary Plan

  • Lifetime Updates: You are entitled to download all future versions of the Product released by us.
  • Priority Support: You receive access to our priority support channels.

4. Support Policy (Visionary Plan Only)

Scope: Support covers issues related to the installation, configuration, and bugs found within the original Nuda Kit code. It also covers feedback for future development features.

Response Time: We aim to respond to support inquiries within 48 hours.

Limitations: Support does not cover teaching you how to code, custom development for your specific business logic, or debugging third-party libraries not included in the original kit.

5. AI Services and API Keys

The Product includes integrations with AI providers (e.g., via Vercel AI SDK). You acknowledge that:

  • BYOK (Bring Your Own Key): You are solely responsible for obtaining and paying for your own API keys (e.g., OpenAI, Anthropic).
  • Liability: We are not responsible for any costs incurred by your usage of these APIs, nor are we liable for the content, accuracy, or output generated by AI models.

6. Payments and Refunds

6.1. No Refunds: Due to the nature of the Product (digital source code), which can be copied and saved locally, all sales are final. We do not offer refunds, returns, or exchanges once the download link has been provided.

6.2. Taxes: As a Spanish entity, we may be required to collect VAT from customers within the European Union, depending on whether you are a business (B2B) or a consumer (B2C).

7. Intellectual Property

Nuda Kit retains all ownership, title, and interest in the original Product source code. You retain ownership of the unique modifications, designs, and business logic you create using the Product. If you provide feedback or suggestions, we may use them to improve the Product without any obligation to compensate you.

8. Disclaimer of Warranties & Limitation of Liability

The Product is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that the Product will meet your specific requirements.

To the maximum extent permitted by applicable law, in no event shall Nuda Kit be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid for the Product.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
